1.This is an application for the extension of credit from Unified Seafood Co., Inc.. (UNIFIED SEAFOOD) to the undersigned if approved. The undersigned agrees to be bound by all the terms stated herein and all the conditions herein shall be incorporated in each and every transaction made.
2.UNIFIED SEAFOOD is entitled to conduct any investigation to verify the information contained herein and may from time to time, perform further investigations. The undersigned will cooperate fully and without delay to complete this investigation, and hereby authorized the release of all information requested by UNIFIED SEAFOOD from third party.
3.No credit line is established by execution hereof. Credit may only be granted in UNIFIED SEAFOOD's sole discretion.
4.Any deviation in payment from the terms hereof or the terms of any invoice, shall accelerate the entire balance. Regardless of the date of delivery, and the entire balance due on said account shall become immediately due and payable, including any interest due.
5.The undersigned agrees to pay, without offset, within the time period specified on the invoice and/or at the time of delivery of the product, if not specified on said invoice, all sums due for the product. Should the undersigned make multiple purchases of product, all sums shall be within the time period specified on the invoice and/or at the time of delivery of the product, if not specified on said invoice. The term "delivery" means the time the goods are delivered to buyer's designated location, or the time goods are transferred to buy's account.
6.Should the credit line be exceeded, then at the option of UNIFIED SEAFOOD, the entire balance of all invoices, regardless of the date of delivery, shall become immediately due and owing ; or excess of the credit in and oldest invoice, regardless off date of delivery, shall be immediately due and payable.
7.If the undersigned is a corporation, then the officer signing this credit application hereby agrees to guarantee the extension of any credit given by UNIFIED SEAFOOD to said corporation. The undersigned, hereby guarantees any and all indebtedness of the above applicant and agrees to be bound to the terms set forth above. The undersigned further waives any and all demands, notices or other requirements regarding this guaranty and aggress to pay all attorney's fees and court costs, should litigation become necessary to enforce this guaranty.
8.This agreement and all subsequent purchases shall be governed by the laws of the State of California and the undersigned expressly consents to the jurisdiction of Courts of the California. Should litigation be instituted by any party hereto, the prevailing party shall be entitled to recover reasonable attorney's fee and court cost. The parties agree that venue for all legal actions shall be in the Central District of Los Angeles County, California.
9.The application will be, should credit be granted, reviewed each month. At that review, any extension of credit may be terminated, maintained, or increased in UNIFIED SEAFOOD's sole discretion.
The undersigned declares under the penalty of perjury under the laws of the State of California that all information contained herein and on the reverse side hereof is true and correct.
